Terms of Service

Welcome to UGCx, operated at ugcx.io. These Terms of Service govern your access to and use of our platform, including all features, services, content, and applications offered by UGCx.

By creating an account or using UGCx, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By accessing or using UGCx, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

2. Account Registration and Eligibility

To use UGCx, you must:

  • Be at least 18 years of age.
  • Provide accurate, current, and complete information during registration.
  • Maintain the accuracy of your account information.

You may register using Google OAuth or an email and password combination. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We reserve the right to refuse registration, suspend, or terminate any account at our discretion.

3. User Accounts and Security

You are solely responsible for safeguarding your account credentials. You agree to not share your account credentials with any third party and to notify us immediately at gabesladebusiness@gmail.com if you suspect unauthorized access to your account.

UGCx is not liable for any loss or damage arising from your failure to secure your account.

4. Platform Description

UGCx is a two-sided marketplace connecting UGC creators ("Creators") with brands and businesses ("Brands"). Creators can sign up, complete training courses, build portfolio profiles, discover and apply to campaigns, connect with Brands, and receive payment for completed work. Brands can sign up, post campaigns, search for and connect with Creators, manage deals, and pay Creators for deliverables.

UGCx facilitates these connections but is not a party to the agreements between Creators and Brands. We act as a marketplace and payment facilitator, not as an employer, agent, or representative of either party.

5. Subscription Plans and Billing

Creator Subscriptions

  • Starter: Free
  • Pro: $6.99 per week
  • Accelerator: $129 per week

Brand Subscriptions

  • Starter: $99 per month
  • Pro: $199 per month
  • Enterprise: $1,000 per month

Billing Terms

  • All subscriptions automatically renew unless you cancel before the renewal date.
  • Subscription fees are charged in advance at the beginning of each billing period.
  • All payments are processed through Stripe.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time.
  • We reserve the right to change subscription pricing with at least 30 days' notice.

6. Refund Policy

All subscription payments are final and non-refundable, except as required by applicable law or as described in the Accelerator Plan guarantee below. By subscribing, you acknowledge and agree that:

  • Subscription fees are non-refundable regardless of usage.
  • Cancellation stops future billing but does not entitle you to a refund for the current billing period.
  • Refunds will not be issued for dissatisfaction with the Platform, failure to use the Platform, or failure to cancel before a renewal date.
  • If you signed up for an annual plan with a free trial period and cancel during the trial, no charge will be made.

Deal payments between Creators and Brands are governed by the dispute resolution process described in Section 14. Refunds of deal payments are handled on a case-by-case basis through that process.

7. Accelerator Plan: 60-Day Money-Back Guarantee

The Accelerator plan includes a 60-day money-back guarantee, subject to the following requirements. To qualify for a refund, you must, within the 60-day period beginning on the date of your first Accelerator subscription payment:

  1. Complete the full training course available through the Platform.
  2. Apply to a minimum of 30 campaigns posted on the Platform.
  3. Attend all scheduled coaching sessions assigned to you during the guarantee period. Missed sessions without prior cancellation (at least 24 hours in advance) count against eligibility.

If you meet all three requirements, you may request a refund by contacting gabesladebusiness@gmail.com within 7 days after the 60-day period ends. We will verify your eligibility and, if confirmed, process a full refund of Accelerator subscription fees paid during the 60-day period.

If you do not meet all three requirements, you are not eligible for a refund under this guarantee. Standard cancellation terms apply.

8. Platform Commission

UGCx charges a commission on deals completed between Creators and Brands through the Platform. The applicable commission rate will be disclosed to both parties before a deal is confirmed.

You may not circumvent the Platform's commission by arranging off-platform payments for deals initiated on UGCx. Attempts to do so may result in account suspension or termination.

9. Creator Responsibilities

  • Provide truthful and accurate information on your profile.
  • Deliver work that meets agreed-upon specifications, quality standards, and deadlines.
  • Communicate promptly and professionally with Brands.
  • Only submit original work or work you have the rights to use.
  • Comply with all applicable laws, including FTC advertising disclosure requirements.
  • Not engage in fraudulent activity, including fake reviews or misrepresentation.

10. Brand Responsibilities

  • Provide clear, accurate campaign briefs with specific deliverable requirements.
  • Pay Creators promptly for completed and approved work.
  • Communicate expectations, feedback, and revisions professionally.
  • Not request work outside the agreed scope without additional compensation.
  • Comply with all applicable advertising laws and regulations.

11. Content Ownership and Licensing

Creators retain full ownership of all content they create unless a specific deal includes an assignment of rights. By uploading content to UGCx, Creators grant UGCx a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content on the Platform. This license does not grant UGCx ownership of your content.

Brands retain ownership of their campaign materials, brand assets, and logos. Content rights transferred as part of a deal are governed by the specific terms agreed upon between the Creator and Brand.

12. Prohibited Conduct

You agree not to: violate any applicable law; use the Platform for illegal purposes; harass or abuse other users; post defamatory, obscene, or hateful content; upload content that infringes third-party rights; circumvent platform commissions; create multiple accounts to abuse features; use bots or scrapers; interfere with the Platform's infrastructure; impersonate others; or upload malware.

13. Payment Terms

All payments are processed through Stripe. When a Brand approves a deal, payment is collected and held by the Platform. Funds are released to the Creator after deliverables are submitted and approved, less UGCx's commission. You are solely responsible for determining and paying applicable taxes.

14. Dispute Resolution

UGCx provides a dispute resolution process for disagreements between Creators and Brands. Either party may initiate a dispute through the Platform. UGCx will review the dispute and make a determination at its sole discretion. This determination is final for purposes of payment release on the Platform.

15. Intellectual Property

The UGCx name, logo, website design, and platform features are owned by UGCx and protected by applicable intellectual property laws. If you believe content on the Platform infringes your rights, contact us at gabesladebusiness@gmail.com.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGCX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO UGCX IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

18. Termination

You may terminate your account at any time through your account settings or by contacting gabesladebusiness@gmail.com. We may suspend or terminate your account at any time for violation of these Terms.

19. Governing Law

These Terms shall be governed by the laws of the United States. Any disputes not resolved through the Platform's dispute resolution process shall be resolved through binding arbitration, except where prohibited by law.

20. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes by posting updated Terms and updating the "Last Updated" date. Continued use after changes constitutes acceptance.
