Terms of Service

Welcome to UGCx, operated at ugcx.io. These Terms of Service govern your access to and use of our platform, including all features, services, content, and applications offered by UGCx.

By creating an account or using UGCx, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By accessing or using UGCx, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

2. Account Registration and Eligibility

To use UGCx, you must:

  • Be at least 18 years of age.
  • Provide accurate, current, and complete information during registration.
  • Maintain the accuracy of your account information.

You may register using Google OAuth or an email and password combination. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We reserve the right to refuse registration, suspend, or terminate any account at our discretion.

3. User Accounts and Security

You are solely responsible for safeguarding your account credentials. You agree to not share your account credentials with any third party and to notify us immediately at gabesladebusiness@gmail.com if you suspect unauthorized access to your account.

UGCx is not liable for any loss or damage arising from your failure to secure your account.

4. Platform Description

UGCx is a selective network connecting vetted UGC creators ("Creators") with brands and businesses ("Brands"). Experienced Creators can submit existing work for review. Developing Creators can subscribe to Creator Pro for training and then submit their completed course work and portfolio for the same quality review. Brands can search the approved network and request direct introductions.

UGCx facilitates these connections but is not a party to the agreements between Creators and Brands. We are not an employer, agent, or representative of either party, and a subscription does not guarantee that any particular Creator will accept work.

5. Subscription Plans and Billing

Creator Subscriptions

  • Experienced Creator Application: No subscription is required to submit an existing portfolio for review or to remain listed after approval.
  • Creator Pro: $6.99 per week or $254.44 per year for the training and guided-practice path. A subscription does not guarantee approval or paid work.

Brand Subscriptions

  • Pro: $500 per month, or $3,000 per year, for self-serve access to the vetted creator network and direct introductions.
  • Enterprise: $1,000 per month for Pro access plus custom account planning and priority support. Enterprise does not include guaranteed creator sourcing, participation, delivery, or campaign results.

A Brand subscription purchases access to the UGCx creator network, search, and introduction tools. It does not include the compensation owed to Creators for campaign work, products, shipping, expenses, or any other deal costs. Creator compensation is agreed separately between the Brand and Creator.

Billing Terms

  • All subscriptions automatically renew unless you cancel before the renewal date.
  • Subscription fees are charged in advance at the beginning of each billing period.
  • All UGCx subscription payments are processed through Stripe.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time.
  • We reserve the right to change subscription pricing with at least 30 days' notice.

6. Refund Policy

All subscription payments are final and non-refundable, except as required by applicable law. By subscribing, you acknowledge and agree that:

  • Subscription fees are non-refundable regardless of usage.
  • Cancellation stops future billing but does not entitle you to a refund for the current billing period.
  • Refunds will not be issued for dissatisfaction with the Platform, failure to use the Platform, or failure to cancel before a renewal date.

UGCx does not collect or issue refunds for Creator compensation arranged directly between a Brand and Creator. Any historical in-platform transaction that began under an earlier payment flow remains subject to the terms shown when that transaction was created and may be handled case by case until resolved.

7. Creator Compensation

Brands and Creators arrange and send Creator compensation directly, outside UGCx. This is the intended use of the Platform and does not place either account at risk of suspension. UGCx does not charge a commission on that compensation.

The parties are responsible for agreeing to terms, confirming whether payment occurred, and complying with tax, invoicing, and other legal obligations.

8. Creator Responsibilities

  • Provide truthful and accurate information on your profile.
  • Deliver work that meets agreed-upon specifications, quality standards, and deadlines.
  • Communicate promptly and professionally with Brands.
  • Only submit original work or work you have the rights to use.
  • Comply with all applicable laws, including FTC advertising disclosure requirements.
  • Not engage in fraudulent activity, including fake reviews or misrepresentation.

9. Brand Responsibilities

  • Provide clear, accurate campaign briefs with specific deliverable requirements.
  • Pay Creators promptly for completed and approved work.
  • Communicate expectations, feedback, and revisions professionally.
  • Not request work outside the agreed scope without additional compensation.
  • Comply with all applicable advertising laws and regulations.

10. Content Ownership and Licensing

Creators retain full ownership of all content they create unless a specific deal includes an assignment of rights. By uploading content to UGCx, Creators grant UGCx a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content on the Platform. This license does not grant UGCx ownership of your content.

Brands retain ownership of their campaign materials, brand assets, and logos. Content rights transferred as part of a deal are governed by the specific terms agreed upon between the Creator and Brand.

11. Prohibited Conduct

You agree not to: violate any applicable law; use the Platform for illegal purposes; harass or abuse other users; post defamatory, obscene, or hateful content; upload content that infringes third-party rights; misrepresent whether a payment was made; create multiple accounts to abuse features; use bots or scrapers; interfere with the Platform's infrastructure; impersonate others; or upload malware.

12. Payment Terms

Stripe processes UGCx subscription fees. Creator compensation is separate from those subscription fees and is arranged directly between the Brand and Creator.

UGCx does not receive, hold, verify, reverse, refund, or guarantee Creator compensation arranged outside the Platform. Any payment status recorded in UGCx is a record supplied by the users, not proof that money moved.

You are solely responsible for determining and paying applicable taxes. UGCx may retain and resolve records related to historical in-platform transactions that began before the current direct-payment model, but those legacy records do not make platform payment available for new collaborations.

13. Dispute Resolution

UGCx may retain collaboration records or assist the parties with communication, but cannot compel a payment, refund, reversal, or release of funds held by either party or a third party. Historical transactions previously processed through UGCx may continue through their original refund or dispute process solely until those obligations are resolved.

14. Intellectual Property

The UGCx name, logo, website design, and platform features are owned by UGCx and protected by applicable intellectual property laws. If you believe content on the Platform infringes your rights, contact us at gabesladebusiness@gmail.com.

15. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGCX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO UGCX IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

17. Termination

You may terminate your account at any time through your account settings or by contacting gabesladebusiness@gmail.com. We may suspend or terminate your account at any time for violation of these Terms.

18. Governing Law

These Terms shall be governed by the laws of the United States. Any dispute between you and UGCx that is not resolved through informal discussions shall be resolved through binding arbitration, except where prohibited by law.

19. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes by posting updated Terms and updating the "Last Updated" date. Continued use after changes constitutes acceptance.
